Terms of Service

These Terms govern your use of PadLync. Please read them carefully — by using the Service you agree to them.
1. Acceptance of Terms
By accessing or using PadLync (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service. We may update these Terms from time to time; the latest version will always be posted on this page with an updated “Last updated” date. Continued use of the Service after changes constitutes acceptance.
2. Eligibility
You must be at least 18 years old and legally able to enter into a contract in your jurisdiction to use PadLync. By using the Service, you represent that you meet these requirements.
3. Your Account
Some features require an account. You are responsible for keeping your login credentials secure and for all activity that occurs under your account. Notify us immediately at hello@padlync.com if you suspect unauthorized access. PadLync is not liable for losses caused by unauthorized account use.
4. Listings
Listers are solely responsible for the accuracy, legality, and completeness of their listings, including property details, photos, and pricing. You agree not to post listings that: (a) you do not have the right to advertise; (b) contain misleading, fraudulent, or illegal content; (c) discriminate against any protected class under federal, state, or local fair housing laws; (d) infringe on any third-party rights; or (e) violate any applicable law. PadLync may remove any listing at any time, with or without notice, for any reason.
5. The $9.99 Listing Fee
Publishing a listing requires a one-time, non-refundable fee of $9.99 USD, charged at the time of publication. The fee covers the listing for as long as the listing remains active in your account. PadLync does not charge subscriptions, commissions, or renewal fees. Fees are non-refundable except where required by law.
6. Payments
Payments are processed by third-party payment providers (e.g., Stripe). By submitting payment, you agree to the provider’s terms in addition to these Terms. PadLync does not store full payment card numbers.
7. Communications Between Users
PadLync may facilitate introductions between listers and prospective renters or buyers (for example, through guest applications or inquiries). PadLync is not a party to any rental, lease, or sale agreement between users, does not broker, escrow, or handle funds between parties, and is not responsible for the conduct of any user. Any agreement you make with another user is solely between you and them.
8. Prohibited Conduct
You agree not to: (a) use the Service for any unlawful purpose; (b) attempt to access the Service by means other than the interface we provide; (c) scrape, crawl, or use automated tools to copy the Service or its content without our written permission; (d) interfere with or disrupt the Service or its security features; (e) upload malicious code; or (f) impersonate any person or entity.
9. Intellectual Property
The Service, including its design, logo, text, graphics, and software, is owned by PadLync and protected by U.S. and international intellectual property laws. You retain ownership of content you upload (photos, descriptions, etc.) but grant PadLync a worldwide, non-exclusive, royalty-free license to use, display, and distribute that content in connection with operating the Service. You confirm you have the right to grant this license for any content you upload.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. PADLYNC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT LISTINGS, USERS, OR CONTENT ARE ACCURATE OR RELIABLE.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PADLYNC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. PADLYNC’S TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID PADLYNC IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS.
12. Indemnification
You agree to indemnify and hold PadLync and its affiliates harmless from any claim, demand, loss, or expense (including reasonable attorneys’ fees) arising from your use of the Service, your listings or content, your interactions with other users, or your violation of these Terms or any applicable law.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. You may stop using the Service at any time. Sections that by their nature should survive termination — including Ownership, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution — will survive.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.
